    1. Whilst every effort is made by B&B Structured Finance Ltd to ensure that the contents of its case studies and other materials handed out during or in connection with courses, lectures or consulting projects (“Documentation”) are accurate and up-to-date, neither B&B Structured Finance Ltd nor its directors nor employees shall be under any liability whatsoever for any inaccuracy or misleading information in its case studies and Documentation whether arising from negligence or otherwise and in particular neither B&B Structured Finance Ltd nor its directors or employees shall be liable for nay consequential damage or expense of any loss of profit or any liability to third parties incurred as a result of reliance of such inaccurate or misleading information.
    2. Case studies and examples of Documentation are not and are not intended to be a judgement of the creditworthiness of any company or person nor to reflect on the quality, reputation or procedures of any company or person.
    3. The exclusion of liability provided herein shall protect B&B Structured Finance Ltd and its servants or agent in all circumstances whatever whether its contract with the recipient of the case studies or Documentation or the recipient’s employer or partners (referred to hereafter as “Recipient”) or any term expressed or implied in it, howsoever fundamental, be broken or repudiated and whatever the consequences of such breach of contract or repudiation, and howsoever great may be the damages suffered by the Recipient or the consequences following from any negligence or breach of contract or other wrongful act whatever on the part of B&B Structured Finance Ltd or its servants or agents.
    4. Subject to the provision hereof all warranties and conditions whether implied by statute or otherwise are hereby excluded. Notwithstanding the provisions of this paragraph nothing in this Condition or in any other provision of these Conditions shall affect the statutory rights of the Customer if dealing as a consumer (as defined in Section 12 of the Unfair Contract Terms Act 1977 or any replacement or extension of such statutory definition.)
    5. Any provision of these conditions which is or may be void or unenforceable shall to the extent of such invalidity or unenforceability be deemed severable and shall not affect other provision hereof.
    6. These Conditions and any contract subject thereto shall be governed in all respect by the laws of England and any dispute hereunder shall be subject to the non-exclusive jurisdiction of the English courts

    Terms of Consultancy

    1. SCOPE OF SERVICES

      B&B provides advisory, training, consultancy and allied services (the "Services").
      The fees payable in respect of Services and the scope and timing for delivery for the Services will be in accordance with written proposals between B&B and its client (the "Client") from time to time.

      It is a fundamental term of the provision of the consultancy that B&B advises, trains, consults or carries out similar activity for the Client, but the making of any decision by or for the Client in the light of the Services is the responsibility of the Client.
    2. FSMA

      B&B is not regulated by The Financial Services Authority for the purposes of the Financial Services & Markets Act 2000 ("FSMA") and no element of the Services should be interpreted by the Client as an invitation, encouragement or inducement to carry out or not carry out any action in relation to investments (as defined in FSMA).
    3. LIMITATION OF LIABILITY

      Fees for the Services are set based on the limitations of liability set out in this document. If a Client wishes to change these limitations, it may do so, but B&B reserves the right to review its fees accordingly.

      1. B&B shall have no liability to the Client for any delay, loss, damage, costs, expenses or other claims for compensation arising from any information or instructions supplied by the Client which are incomplete, incorrect, inaccurate, illegible, out of sequence or in the wrong form, or arising from their late arrival or non-arrival, or any other fault of the Client;
      2. B&B shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arising from the Client making use of the Services for any purpose not clearly disclosed to B&B prior to delivery of the Services or from the Client allowing a third party to make use of the Services;
      3. Except in respect of death or personal injury caused by B&B's negligence, B&B shall not be liable to the Client by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, other than under the express terms of this Agreement, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of the Consultant, its servants or agents or otherwise) which arises out of or in connection with the provision of the Services or the use by the Client of the Services; and
      4. to the fullest extent permitted by law, B&B shall have no liability to any client in excess of the lower of (i) £50,000 and (ii) the amount that the Client shall have paid to B&B in the 6 months prior to the event giving rise to a claim by the Client.
    4. INTELLECTUAL PROPERTY
      Except where otherwise agreed in writing, any materials created in the course of providing the Services by B&B shall remain the property of B&B.
    5. GOVERNING LAW
      The terms of provision of the Services shall be governed by English law. Any dispute or proceedings shall be heard before the High Court of England & Wales.
