SCOPE OF SERVICES
B&B Structured Finance Ltd (“B&B”) provides training, consultancy and allied services (the "Services").
The fees payable in respect of Services and the scope and timing for delivery for the Services will be in accordance with agreements made between B&B and its client (the "Client") from time to time.
It is a fundamental term of the provision of the consultancy that B&B trains, consults or carries out similar activity for the Client, but the making of any decision by or for the Client in the light of the Services is the responsibility of the Client.
FSMA
B&B is not regulated by The Financial Services Authority for the purposes of the Financial Services & Markets Act 2000 ("FSMA") and no element of the Services should be interpreted by the Client as an invitation, encouragement or inducement to carry out or not carry out any action in relation to investments (as defined in FSMA).
LIMITATION OF LIABILITY
Fees for the Services are set based on the limitations of liability set out in this document. If a Client wishes to change these limitations, it may do so, but B&B reserves the right to review its fees accordingly.
B&B shall have no liability to the Client for any delay, loss, damage, costs, expenses or other claims for compensation arising from any information or instructions supplied by the Client which are incomplete, incorrect, inaccurate, illegible, out of sequence or in the wrong form, or arising from their late arrival or non-arrival, or any other fault of the Client;
B&B shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arising from the Client making use of the Services for any purpose not clearly disclosed to B&B prior to delivery of the Services or from the Client allowing a third party to make use of the Services; Except in respect of death or personal injury caused by B&B's negligence, B&B shall not be liable to the Client by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, other than under the express terms of this Agreement, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of the Consultant, its servants or agents or otherwise) which arises out of or in connection with the provision of the Services or the use by the Client of the Services; and
To the fullest extent permitted by law, B&B shall have no liability to any client in excess of the lower of (i) $50,000 and (ii) the amount that the Client shall have paid to B&B in the 12 months prior to the event giving rise to a claim by the Client.
INTELLECTUAL PROPERTY
Except where otherwise agreed in writing, any materials created in the course of providing the Services by B&B shall remain the property of B&B.
GOVERNING LAW
The terms of provision of the Services shall be governed by English law. Any dispute or proceedings shall be heard before the High Court of England & Wales.
